With a newly appointed management team dedicated to building market share for our current line of award winning educational toy brands, APII will work to strengthen our presence in the educational toy and children’s segment while strategically transforming the company from a one segment consumer product toy company (see existing Action Toys Inc.) to a global holding company, that builds profitability and shareholder value in established and growth stage consumer product companies. Through a range of strategic, operational, and management as well as capital resources, our business expertise and strategic leadership will help to accelerate growth, build long term value and enable business transformation for each of our subsidiary companies and its proprietary consumer brands.

APII believes that we can generate unique untapped opportunity by maximizing our existing relationships with over 2400 doors through our secured and unique multi-level channels of distribution. Our products award winning toy products are sold into over 1.5 million households annually and we have develop a strong consumer acceptance over the years that allows for additional household penetration with brand extensions and new development. Today, in our 30th year, APII has reshaped itself to strengthen our eight core quality consumer toy brands: Curiosity Kits®; I Dig Excavation Adventures™; Play & Store™; Space Voyagers®; Kidz Workshop™; Climb@Tron™; and Woodkits™. Our future consumer product lines will include home health and wellness products, premium wooden toys, action figures, play-sets, activity kits, crafts and various other playthings with strategic emphasis on non-violent, educational and fun topics such as crafts, space, dinosaurs, science and nature.

APII has built a robust infrastructure that allows our company to build profitable product lines to leverage our resources accelerating our growth potential with lower risk and capital investment. APII will look to acquire companies and product brands that have begun building a market while having the opportunity for international expansion.

Our Tactical Growth Plan for 2009

The reorganization of our company now creates three separate revenue generating units that will initially be grown under the APII corporate umbrella with the potential of eventually being managed by top level managers as full fledged business units. The three units will be Action Toys Inc., ActMed Health and Wellness Products and BE Overseas Investment Group.

The APII Strength

The APII operational best practices strategy is designed to utilize the strong sourcing relationships we have built over the past twenty five years and optimize the use of outsourced manufacturing services . APII has dedicated product sourcing and product development teams that will help to properly position new innovative products in selected markets through our subsidiary companies. More than 25 original equipment manufacturer (OEM) contract manufacturers in the United States, Hong Kong and China are engaged to source components and build finished products to our exacting specifications. This existing infrastructure allows us to quickly bring to market; innovative, quality and value driven consumer products. APII is positioned to deliver products in a number of high growth consumer segments for which the technical and production capabilities of our contract manufacturing resources are ideally suited to optimize product cost and quality.

APII has also developed a network of independent manufacturer representative firms and an internal, direct-sales department to help grow our businesses. The sales teams are supported by a customer service group that supports the retailers and independent manufacturer representative firms with marketing collateral, product information, order processing and customer presentations.. All sales efforts are supported by a dedicated marketing department that designs customized, targeted sales programs for our various markets.
